These Terms & Conditions (“Terms”) govern your access to and use of the Memo mobile application and related services (“Service”), operated by SarayuVibes LLC (“Company,” “we,” “us,” or “our”). By downloading, accessing, or using Memo, you agree to be bound by these Terms.

1. About Memo
   Memo is a digital memory storage and organization application designed to help users securely store, organize, and revisit personal memories, including photos, short videos (up to 15 seconds), notes, and documents. Memo is a product of SarayuVibes LLC.
2. Eligibility and Geographic Scope
   Memo is intended solely for adults aged eighteen (18) years or older. The Service is designed for use by residents of the United States only and is not intended for use outside the U.S. By using Memo, you represent and warrant that you meet these requirements.
3. Account Registration and Security
   To use certain features, you must create an account. You agree to provide accurate and current information and to maintain the confidentiality of your credentials. You are solely responsible for all activity under your account.
4. User Content and Ownership
   You retain full ownership of all content you upload. By uploading content, you grant SarayuVibes LLC a limited, non-exclusive, revocable, worldwide license to host, store, process, and display your content solely for the purpose of operating and improving the Service.
5. Acceptable Use
   You agree not to misuse Memo, upload unlawful or harmful content, attempt to breach security, distribute malware, or violate the rights of others. We reserve the right to remove content or suspend accounts that violate these rules.
6. Subscriptions, Advertising, and Monetization
   Memo may offer free and paid subscription plans. Pricing and renewal terms will be disclosed prior to purchase. Memo may display advertisements or promotional content. Subscriptions do not guarantee an ad-free experience unless explicitly stated. Additional paid features may be introduced in the future.
7. Business Transfers
   As the Company evolves, Memo and its assets may be transferred, sold, or acquired as part of a merger, acquisition, restructuring, or sale of assets. These Terms will continue to apply to any successor entity.
8. Intellectual Property
   All software, trademarks, logos, and intellectual property associated with Memo are owned by SarayuVibes LLC and are protected by law.
9. Limitation of Liability
   To the maximum extent permitted by law, SarayuVibes LLC shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid, if any, to use the Service.
10. Indemnification
    You agree to indemnify and hold harmless SarayuVibes LLC from any claims arising out of your use of the Service or violation of these Terms.
11. Termination
    We may suspend or terminate your access at any time for violation of these Terms or legal requirements.
12. Governing Law
    These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
